Terms of service

1. Who we are, and what these terms cover

Stockroom is built and operated by MyWorks ("we", "us"). These terms govern your use of the Stockroom app for Shopify (the "app"), the Stockroom Network, and this website, stock-room.app (together, the "service"). By installing the app or using the service, you agree to these terms on behalf of the business you represent. If you don't agree, don't install or use the service.

2. The service

Stockroom is a purchasing and inventory app for Shopify: suppliers, purchase orders, receiving, stocktakes, reordering, labels, alerts and reports. It runs inside your Shopify admin and requires an active Shopify store. Your use of Shopify itself is governed by Shopify's own terms, which these terms don't replace.

Stockroom's purchasing and inventory features are free to install and use. Optional paid services - such as MyWorks Sync, our accounting sync - are separate products governed by their own terms and pricing, and nothing in Stockroom requires them.

We're always improving the service, so features may be added, changed or retired over time. Where a change meaningfully reduces what the app does, we'll aim to give reasonable notice.

3. Your account

Access to the app comes through your Shopify store - there's no separate Stockroom account or password. You're responsible for the people you allow into your Shopify admin and for everything done in Stockroom through your store, and you must be authorized to act for the business that owns the store.

4. Your data

The data you bring into Stockroom - your products, suppliers, purchase orders, costs, counts, files and notes - is yours. You grant us the limited rights needed to host, process, transmit and display that data in order to provide the service to you, and for nothing else. We never sell your data. How we collect, use and protect it is described in our privacy policy, which is part of these terms.

You're responsible for the accuracy and lawfulness of the data you put into the service, including having the right to store your suppliers' business contact details.

5. Stockroom Network

Stockroom Network connects two Shopify stores that both use Stockroom - a buyer and their supplier - so purchase orders can cross directly between them instead of traveling as a PDF. Connections work like this:

  • A connection exists only after both sides explicitly agree - the buyer when sending an invitation, the supplier when accepting it. The exact scope of what is shared is presented at that moment, and a change to that scope requires fresh agreement from both sides.
  • What crosses is limited to the purchase orders the buyer sends that supplier (products, quantities, the buyer's costs on those orders, requested dates, and the order's ship-to address - the buyer's location, or their customer's delivery address when the buyer chooses to dropship) and the buyer's business contact details (store name and contact email). Nothing else crosses - not sales, stock levels, other suppliers, or customer data beyond that dropship ship-to.
  • The supplier controls how incoming orders are handled in their own store, including whether orders are created manually or automatically.
  • Either side may disconnect at any time, immediately and unilaterally. Disconnecting stops anything new from crossing; it doesn't retract what already crossed - orders in the supplier's store and records on the buyer's purchase orders remain, because they're that side's business records.
  • Invitations are bound to the supplier email address the buyer has on file and can be used once. You must not accept an invitation intended for someone else or misrepresent the business you're connecting as.

Your trading relationship with a connected party - pricing, payment, delivery, disputes - is between you and them. Stockroom carries the order; it isn't a party to the transaction.

6. Acceptable use

You agree not to:

  • use the service for anything unlawful, or in violation of Shopify's terms;
  • interfere with the service or attempt to access data belonging to another store;
  • probe, overload or disrupt the service, or access it by automated means other than the interfaces we provide;
  • reverse engineer, copy or resell the service;
  • misrepresent your identity or business, including in Stockroom Network invitations and connections;
  • upload files or content you don't have the right to use, or that are malicious.

We may suspend or terminate access to the service for use that violates these terms or puts other merchants, suppliers or the service at risk.

7. Third-party services

The service is built on Shopify and uses third-party providers for hosting, email delivery and similar functions. Third-party services are governed by their own terms, and we're not responsible for them. Emails and documents the app sends on your behalf - such as purchase orders to your suppliers - are sent at your direction.

8. Intellectual property

The service - its software, design, and content we created - belongs to MyWorks and its licensors. These terms don't transfer any of it to you beyond the right to use the service. If you send us feedback or suggestions, we can use them without obligation to you.

9. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the service will be uninterrupted, error-free or secure, or that figures it produces (costs, margins, forecasts, reorder suggestions and similar) are accurate or suitable for any particular decision. They're tools to inform your judgment, not a substitute for it - verify important numbers, including anything you use for accounting or tax purposes.

10. Limitation of liability

To the maximum extent permitted by law, MyWorks will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising from or related to the service - even if advised of the possibility. To the same extent, our total liability for all claims relating to the service is limited to the greater of one hundred US dollars ($100) or the amount you paid us for the service in the twelve months before the claim arose.

11. Indemnification

You'll defend and hold MyWorks harmless from claims arising out of your use of the service in violation of these terms, your data, or your dealings with parties you transact with through the service, including Stockroom Network connections.

12. Termination

You can stop using the service at any time by uninstalling the app from your Shopify store. What happens to your data after uninstall is described in theprivacy policy. We may suspend or terminate the service as described in section 6, and sections that by their nature should survive termination (including 4, 8, 9, 10 and 11) survive it.

13. Changes to these terms

We may update these terms from time to time. When we do, we'll update the date at the top of this page, and for material changes we'll take reasonable steps to notify you - for example, a notice in the app. Continuing to use the service after a change takes effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Texas.
